B1 Initiative Foundation Inc. Terms and Conditions Agreement

1. Membership Pledge and Commitment

By accepting membership in the B1 Initiative Foundation Inc. ("Foundation"), the individual ("Member") pledges loyalty to the Foundation, fellow members, Founding Chiefs, Elders, ancestors, and the African Diaspora. The Member commits to:

  • Offering their talents, abilities, skills, education, and expertise to benefit the Foundation and Diaspora
  • Becoming a productive member through genuine application of skills
  • Completing all accepted tasks and responsibilities
  • Attending all required meetings, including group and one-on-one sessions
  • Pursuing education in African Diaspora history and financial planning
  • Supporting Black-owned businesses through the practice of recycling "black dollars"
  • Adhering to the "B1 (Black First) Code" in all dealings

2. Confidential Information

2.1 Definition

"Confidential Information" includes any proprietary information disclosed by the Foundation, including but not limited to:

  • Business records and plans
  • Trade secrets
  • Technical data
  • Financial information
  • Strategic alliances
  • Customer and member lists
  • Communications within the Foundation
  • Any other information designated as confidential

2.2 Exclusions

Confidential Information does not include information that:

  • Is public knowledge through Foundation disclosure
  • Is rightfully received from a third party
  • Is independently developed
  • Is disclosed by operation of law
  • Is agreed in writing to be non-confidential

2.3 Member Obligations

The Member agrees to:

  • Hold all Confidential Information in strict confidence
  • Not disclose Confidential Information without prior written consent
  • Not copy or modify Confidential Information without authorization
  • Report any unauthorized disclosure or use
  • Return all Confidential Information upon request within five (5) days

3. Conduct and Conflict Resolution

The Member agrees to:

  • Communicate with sincerity, goodwill, and compassion
  • Listen to opposing opinions respectfully
  • Resolve conflicts through:
    • Direct communication with good intent
    • Mediation if necessary
    • Final resolution by Founding Chiefs' vote
  • Accept that all decisions will be voted upon by the Chiefs

4. Termination and Enforcement

4.1 Grounds for Removal

Membership may be terminated by Chiefs' vote for:

  • Violation of confidentiality agreements
  • Missing four consecutive meetings without approval
  • Failure to adhere to the B1 Code
  • Breach of any terms in this agreement

4.2 Legal Remedies

  • The Foundation reserves the right to seek injunctive relief
  • Non-circumvention period extends five (5) years after termination
  • Prevailing party entitled to reasonable attorney's fees in any legal action

5. General Provisions

  • Term: Obligations survive ten years from Effective Date or until written release
  • Governing Law: This Agreement is governed by Wyoming state law
  • Whistleblower Protection: Compliant with Defend Trade Secrets Act
  • Modifications: Any amendments must be in writing and signed by both parties
  • Severability: Invalid provisions shall not affect remaining terms
